Abstract : Some of the commercial companies’ administrators behave in a way that is considered a criminal act towards the company’s interests, shareholders, and partners. Those acts also impact the state's economy and reputation which will drive investors away. Given the nature of companies being as a closed entity, such behaviors will not be detected except with the help of internal oversight bodies and government sector. Therefore, all disciplines working for those companies should be given awareness about criminal responsibility toward this crime and to further details on its substantive and procedural provisions. This study aims to clarify the provisions of the crime and its associated issues that many misunderstand, as well as to know the extent of success both of the Saudi and Algerian legislation in adopting the provisions of this new criminalization without violating the legal rules of their country nor without infringing on the principles and commercial administrative concepts for the running of the commercial company. This can be achieved by comparing analysis of general criminal texts and commercial texts in Saudi and Algerian legislation. Therefore, this study is divided into three chapters. Firstly, this study defined the criminal liability of commercial companies’ administrators for the misuse of the company’s money. Secondly, the study explains the reasons for the criminal liability of commercial companies’ administrators for the misuse of the company’s money. Finally, a chapter that explains explain the criminal procedural provisions for the criminal liability of commercial companies’ administrators for the misuse of the company’s money. In conclusion, the study will highlight several suggestions and recommendations.
