Abstract : This study summarizes the provisions of the legal liability of the managers of the limited liability company. The Saudi regulator paid special attention to this type of companies because of its importance in developing the economic side of the Kingdom of Saudi Arabia. This study has dedicated to discuss the provisions of the Saudi Companies Law issued by the Royal Decree No. M/3 dated 28/01/1437 AH as amended by the Council of Ministers Resolution No. 403 of 24/07/1439 AH related to the provisions of the civil and criminal liability of the managers/directors of the limited liability company. The study was included the discussion both the criminal and civil aspects of the legal liability of the managers of the limited liability company and explaining the civil liability and its elements, clarifying the civil liability provisions for the managers/directors of the limited liability company, including the statement of the nature of the criminal liability and its elements, and ending with the statement of the criminal acts and their punishments as well as explaining the criminal liability suit for the crimes of the manager of the limited liability company and the statement of their features. The study concluded with Several of recommendations The most important of it is the follows: 1. The Saudi regulator has to avoid the legal gaps in the texts of its provisions to the effect of its silence about the mechanism of transferring the limited liability company into a joint stock company if the increase in the number of partners is the result of inheritance. 2. The Saudi regulator has to determine the ageing period of hearing criminal and civil liability suits arising out of fraud and forgery . 3. The Saudi regulator has to amend Clause (a) of Article 213 of the Companies Law whereby the crime of distributing the fake profits shall fall within the crimes punishable by imprisonment and fine, and not limited of the imposition of the financial penalty only . and considering this crime as one of the crimes of the fake registration of financial statements or the reports prepared for the partners.
